These Terms and Conditions (“Terms”) form a legally binding agreement between you (whether personally or on behalf of an entity) (“you”, “User”) and GroveX (“GroveX”, “we”, “us”, “our”) governing your access to and use of the GroveX website www.grovex.io, mobile application, and any related products or services we make available (collectively, the “Platform” or “Services”).
By accessing or using the Platform, creating an account, or clicking “I accept” (or similar), you confirm you have read, understood, and agree to be bound by these Terms.
Risk Warning: Digital asset trading involves risk. You may lose some or all of your funds. GroveX does not provide financial, legal, or tax advice.
1. Definitions
In these Terms, the following definitions apply:
- Account means your GroveX account and internal ledger balances.
- Authorised Agent means a person, software system, algorithm, bot, or AI-enabled tool that you authorise (including via API keys, OAuth, device access, or other credentials) to access your Account or place Orders on your behalf.
- Digital Asset means a cryptocurrency, stablecoin, token, or other digital representation of value supported by GroveX.
- Fiat means government-issued currency (e.g., USD, EUR), if supported.
- Order means an instruction to buy or sell a Digital Asset.
- Trade means an executed Order (in whole or in part).
- Platform Error means any bug, defect, pricing error, mismatch, feed delay, outage, latency, delay, or unintended behaviour affecting prices, execution, fees, balances, records, or Platform displays.
- Abusive Trading means activity intended primarily to extract value from Platform mechanics rather than genuine market risk or price discovery, including exploiting precision or rounding, tick-size, fee or rebate structures, conversion logic, stale prices, or latency differences between markets.
- Market Manipulation includes wash trading, self-trading, spoofing, layering, quote stuffing, pump-and-dump schemes, coordinated manipulation, or misleading conduct.
- Prohibited Conduct means any conduct prohibited under these Terms, including Market Manipulation, Abusive Trading, Platform Error exploitation, fraud, sanctions evasion, AML or CTF breaches, misuse of the Platform, and related misconduct.
- Original Deposit Amount means the value of the original funds deposited for the relevant matter or issue (as determined by GroveX records), excluding trading profits, Promotional Benefits, referral rewards, unrealised gains, opportunity costs, and consequential losses.
- Promotional Benefits means rebates, rewards, bonuses, credits, fee reductions, and similar incentives offered by GroveX.
- Restricted Jurisdictions means jurisdictions where the Services are not offered, including the United States as described in Section 2, and any jurisdictions listed on the Restricted Jurisdictions Page (which may include High-Risk Jurisdictions).
- High-Risk Jurisdictions means jurisdictions GroveX designates as high risk based on its AML/CTF risk assessments, sanctions exposure, fraud trends, regulatory risk, and/or guidance from competent authorities and reputable risk sources.
- Restricted Jurisdictions Page means the list of Restricted Jurisdictions (and where applicable High-Risk Jurisdictions and related restrictions) maintained by GroveX on the Platform or Help Centre (as updated from time to time).
- Trading Rules means any market rules, limits, rate limits, minimums, tick sizes, and operational rules published on the Platform (as updated).
- U.S. Territories includes Puerto Rico, Guam, the U.S. Virgin Islands, American Samoa, and the Northern Mariana Islands.
- Competent Authorities includes applicable regulators, sanctions authorities, law enforcement agencies, courts, and other authorities with jurisdiction over GroveX or relevant Users.
- Prohibited Person means any person or entity that is: (a) in a Restricted Jurisdiction; (b) in breach of High-Risk Jurisdiction restrictions; (c) on sanctions lists; (d) subject to sanctions; or (e) otherwise prohibited under applicable law or GroveX risk controls.
2. Background and Scope
GroveX operates a digital asset platform enabling Users to buy, sell, and transfer supported Digital Assets.
Information on the Platform and any GroveX communications (including announcements and social media) are general information only and are not financial advice. You are solely responsible for your decisions.
Any transaction conducted outside the Platform is solely at your risk. To the extent permitted by law, you indemnify GroveX against losses arising from off-Platform arrangements, except to the extent such losses must be borne by GroveX under applicable law (including due to GroveX’s negligence where liability cannot be excluded).
Jurisdiction / availability. The Platform is not intended for use where prohibited by law or where it would require GroveX to obtain registrations, licences, authorisations, or approvals in that jurisdiction.
Restricted Jurisdictions (including the United States). The Services are not offered to, and must not be accessed or used by, any person or entity that is: (a) located in, resident in, or ordinarily resident in the United States of America (including U.S. Territories); or (b) a U.S. Person, meaning any U.S. citizen, U.S. permanent resident (green card holder), or any person otherwise subject to U.S. jurisdiction for purposes of accessing or using the Services; or (c) located in any other jurisdiction where offering the Services would be unlawful or would require GroveX to obtain registrations, licences, authorisations, or approvals.
No offer or solicitation. Nothing on the Platform constitutes an offer, solicitation, or invitation to use the Services in any Restricted Jurisdiction.
Users accessing from other locations do so on their own initiative and are responsible for compliance with local laws.
Regulatory / AML-CTF. GroveX applies AML/CTF and related compliance controls as required by applicable laws, regulations, regulatory guidance, and its operating framework. Users agree GroveX may impose additional compliance requirements where required or reasonably necessary.
Restricted Jurisdictions Page and updates. GroveX maintains a Restricted Jurisdictions Page which may be updated at any time. You agree to check it periodically.
High-Risk Jurisdictions. GroveX may designate High-Risk Jurisdictions and may restrict or prohibit onboarding, access, deposits, withdrawals, trading, or specific features for Users connected to those jurisdictions.
Incorporated policies. These Terms incorporate by reference any policies or pages we publish on the Platform from time to time, including the Privacy Policy, Fee Schedule, Trading Rules, and the Restricted Jurisdictions Page (each as updated). If there is an inconsistency, these Terms prevail unless the relevant policy expressly states otherwise.
2A. No Regulated Products; No Advice
Unless expressly stated in writing by GroveX in product-specific terms, GroveX does not offer derivatives, futures, options, perpetuals, margin, leverage, lending, or interest-bearing products.
Nothing on the Platform constitutes financial product advice, investment advice, a recommendation, or an offer of securities or derivatives. You are solely responsible for your decisions and for obtaining independent advice as needed.
3. Acceptance and Changes
If you do not agree to these Terms, you must not use the Services.
We may update these Terms from time to time. Where changes are material, we will provide notice via the Platform and/or your registered email where practicable. Continued use after the effective date constitutes acceptance.
4. Eligibility and Representations
You must be at least 18 years old.
You must not be listed on applicable sanctions lists, including relevant United Nations and other competent-authority lists, and must not use the Platform where prohibited.
You represent and warrant that you have legal capacity to enter these Terms, understand Digital Assets are volatile and risky, and will not use the Services for unlawful activity, fraud, or Prohibited Conduct.
If you register, access, or use the Services on behalf of an entity, you represent and warrant that you have authority to bind that entity to these Terms and that “you” includes that entity.
Restricted Jurisdictions representation (ongoing). You represent and warrant on an ongoing basis that you are not located in the United States, resident/ordinarily resident in the United States, and not a U.S. Person.
High-Risk Jurisdictions representation (ongoing). You represent and warrant on an ongoing basis that you are not accessing or using the Services in breach of restrictions applicable to High-Risk Jurisdictions, including through funding sources, counterparties, beneficiaries, devices, IP addresses, or other connections that GroveX reasonably determines create High-Risk exposure.
Change of status / travel. You must promptly notify GroveX and cease using the Services if you become located in, resident in, or otherwise subject to the laws of a Restricted Jurisdiction. If you travel to or access the Services from a Restricted Jurisdiction or High-Risk Jurisdiction, GroveX may block access and restrict your Account, including placing your Account into withdrawal-only status.
5. Account Registration and Security
You must provide accurate, current, and complete information and keep it updated.
You must keep your credentials and 2FA secure. You are responsible for all activity on your Account, whether or not authorised by you.
You must notify GroveX immediately if you suspect unauthorised access, compromise, or fraud.
Location and jurisdiction information. You must provide accurate and complete information regarding your country of residence, citizenship, and location where requested. Misrepresentation or concealment of Restricted Jurisdiction status (including U.S. status) is a material breach.
5A. Geofencing, VPN/Proxy Restrictions, and Jurisdiction Controls
GroveX may use geolocation, IP analysis, device signals, third-party risk tools, and other methods to restrict or prevent access from Restricted Jurisdictions or where required for compliance, security, or risk management.
You must not attempt to bypass these controls, including by using VPNs, proxies, anonymisation tools, or false or misleading information.
If GroveX detects or reasonably suspects access or use from a Restricted Jurisdiction or High-Risk Jurisdiction, GroveX may disable trading, restrict deposits/withdrawals, require verification, suspend or terminate the Account, and/or take other actions permitted under these Terms, subject to applicable law and non-excludable rights.
5B. Device and Account Security Responsibilities
You are responsible for maintaining the security of devices, email accounts, phone numbers, and authentication methods used to access the Services, including keeping your operating system and applications updated and using reputable security protections.
You must not share credentials or allow untrusted persons to access your device.
To the extent permitted by law, GroveX is not responsible for losses arising from compromise of your email, SIM-swap attacks, malware, phishing, social engineering, or other security failures outside GroveX’s reasonable control.
6. Custody Model and Third-Party Wallet Infrastructure
GroveX operates as a custodial platform for assets held in your Account and recorded on GroveX’s internal ledger, subject to these Terms (including holds, freezes, reversals, set-off, and compliance restrictions).
Not a bank; no deposit insurance. GroveX is not a bank or authorised deposit-taking institution. Digital Assets and Fiat (if supported) held with GroveX are not deposits and are not covered by any government deposit insurance or compensation scheme.
Omnibus wallets and internal ledger. GroveX may hold Digital Assets in omnibus wallets. Your entitlements are recorded on GroveX’s internal ledger.
GroveX may use third-party wallet infrastructure providers and service partners. Third-party systems may experience outages or delays.
If you use external self-custody wallets, you are solely responsible for your private keys, seed phrases, and address and network accuracy. Blockchain transactions may be irreversible.
You authorise GroveX (and its providers) to move Digital Assets between wallet systems and addresses (e.g., hot/cold wallet management) to operate the Platform.
6A. Client Asset Safeguarding, Segregation, and Ring-Fencing
Safeguarding intent. GroveX seeks to safeguard client assets through operational, technical, and compliance controls designed to reduce misuse, loss, and commingling risk.
Segregation and controls. To the extent reasonably practicable and consistent with how the Platform operates (including omnibus wallet architecture), GroveX will maintain controls intended to:
- record User entitlements on its internal ledger;
- apply separation of duties and access controls over custody systems; and
- manage hot/cold wallet arrangements and operational movements consistent with security practices.
No rehypothecation (unless disclosed). GroveX will not lend, pledge, or otherwise use User Digital Assets for GroveX’s own account unless expressly disclosed to you in product-specific terms and permitted by law.
Regulatory evolution. GroveX may update these Terms and its custody structure to comply with evolving legal and regulatory requirements applicable to its services and operating framework.
6B. Insolvency and Continuity (Disclosure)
Your Account reflects internal ledger records of entitlements. Treatment of assets in insolvency may be affected by applicable law, operational constraints, third-party arrangements, and regulatory or court directions. GroveX makes no guarantee regarding timing or outcomes, except as required by law.
7. Privacy and Data Protection
Your use of the Platform is subject to GroveX’s Privacy Policy (as updated).
You consent to collection, use, storage, and processing of information to provide Services, comply with legal obligations, manage risk, prevent fraud, and enforce these Terms.
8. AML/CTF, KYC, Sanctions Screening, and Transfers of Value
GroveX complies with applicable AML and CTF laws and sanctions obligations and may implement required controls.
We may require identity verification (KYC), proof of address, source of funds or source of wealth, and other documents where required by law, risk monitoring, thresholds, or compliance flags (including for Fiat rails if supported).
Verification triggers (examples). GroveX may require verification or re-verification at any time, including for first or higher-risk withdrawals, large volumes, unusual activity, device or location anomalies, chargeback or fraud risk indicators, High-Risk Jurisdiction indicators, sanctions or adverse media matches, address risk scoring, account recovery, or where required by law or third-party providers.
Where required by law, regulation, or regulatory guidance, GroveX may collect, verify, transmit, and/or retain information relating to Digital Asset transfers, including information about the originator and beneficiary. If required information is missing, inconsistent, or not provided, GroveX may delay, reject, reverse, or hold a transfer and may restrict your Account until compliance requirements are satisfied.
We may refuse, hold, restrict, or report activity to relevant authorities where required or reasonably necessary for compliance or security.
Screening and risk assessments. GroveX may screen Users, transactions, and counterparties using internal controls and third-party tools, including sanctions screening, politically exposed person (PEP) screening, adverse media screening, transaction monitoring, and blockchain analytics.
Enhanced due diligence (EDD). GroveX may apply enhanced due diligence and request additional documents and information where required or reasonably necessary.
Sanctions ownership/control. You must not be owned or controlled (directly or indirectly) by any sanctioned person and must not act on behalf of any sanctioned person.
Document integrity and re-verification. Documents and information must be accurate and genuine. GroveX may request re-verification.
Address and transaction screening. GroveX may delay, refuse, hold, reverse, or restrict transfers linked to sanctions, hacks, theft, scams, fraud, ransomware, darknet markets, mixers, or other high-risk typologies.
9. Risk Disclosure
Digital Assets involve significant risks including volatility, liquidity limits, hacks, outages, congestion, protocol events or forks, regulatory change, irreversible transfers, and stablecoin de-pegging or issuer risk. You may lose all funds and should only trade what you can afford to lose.
10. Trading Mechanics, Precision, Execution, and Market Data
GroveX may apply price and quantity precision, tick sizes, minimum notional sizes, and rounding rules. Platform calculations and records are final except where GroveX corrects errors or makes corrections under these Terms.
Orders may be partially filled, filled at different prices (slippage), delayed, rejected, or cancelled due to market conditions, liquidity, risk controls, maintenance, outages, abnormal conditions, or compliance or security reasons.
Trading may be subject to rate limits, risk limits, and market integrity controls published on the Platform.
Market data disclaimer. Market data may be delayed, inaccurate, incomplete, or interrupted. GroveX does not guarantee accuracy or availability of market data and may halt, suspend, cancel, or restrict trading where data is abnormal, unavailable, or unreliable, or where reasonably necessary for integrity, compliance, or security.
10A. Market Emergency Protocol (Including Stablecoin De-Pegging)
Market Emergency Event. A Market Emergency Event may include: (a) a major stablecoin trading persistently below a threshold (for example below 0.95 of its intended peg for 30 minutes) based on reasonable indicators; (b) severe market dislocation or liquidity failure; (c) oracle/feed failure or material pricing anomalies; (d) security incidents affecting an asset/network; or (e) regulatory or law enforcement directives.
Permitted actions. During a Market Emergency Event, GroveX may take reasonable measures, including pausing trading, setting markets to reduce-only/sell-only/closing-only, restricting deposits/withdrawals, adjusting limits, and cancelling/unwinding trades materially impacted by abnormal conditions or Platform Errors (as permitted under these Terms). GroveX will provide notice where practicable.
11. Platform Records, Provisional Credits, and Determinations
To the maximum extent permitted by law, GroveX’s system records are the authoritative record of activity on the Platform.
Displayed balances, credits, rebates, and profits are provisional until settled. If GroveX later determines an amount arose from Prohibited Conduct, Platform Errors, abnormal conditions, reversals/chargebacks, or necessary corrections, GroveX may adjust, reverse, or remove it.
GroveX may use surveillance, risk controls, and internal methodologies to detect Prohibited Conduct. GroveX may limit disclosures to protect security and compliance processes, except where required by law.
12. Fees, Payments, Taxes, Chargebacks, and Set-Off
Fees are displayed on the Platform and/or published on the GroveX fee page. Fees may change.
Network and third-party fees. Deposits, withdrawals, and transfers may incur blockchain network fees and/or third-party provider fees. Network fees are variable and outside GroveX’s control. GroveX may estimate, pass through, or add such fees where applicable. Fees and amounts may be rounded per Platform precision rules.
If third-party payment rails are used, you must comply with their terms.
You are responsible for any taxes arising from your use of the Services. GroveX does not withhold taxes and does not provide tax advice.
If a payment is reversed, charged back, disputed, recalled, or invalidated, you authorise GroveX to reverse credits, unwind impacted trades where reasonably necessary, impose holds, and recover amounts owed (including by set-off).
If your Account has a negative balance, you must repay amounts owed on demand.
GroveX may set off amounts you owe against balances in your Account. Where reasonably necessary, GroveX may convert one Digital Asset into another (or into Fiat if supported) using a reasonable methodology based on available pricing and/or internal records.
13. Deposits, Withdrawals, and Asset Recovery
You are responsible for correct addresses and networks. Losses from incorrect addresses or networks may be irrecoverable.
GroveX may delay, hold, refuse, reverse, or cancel deposits or withdrawals where reasonably necessary for security, compliance, fraud prevention, error correction, operational integrity, or legal obligations. Timing may be affected by third-party providers or legal constraints.
Minimum and maximum limits may apply.
GroveX is not obliged to recover assets sent to incorrect networks or unsupported addresses/tokens. Where GroveX attempts recovery, it may require verification and may incur administrative or third-party fees.
Recovery and manual processing fees. To the extent permitted by law, GroveX may charge reasonable fees for complex recoveries, investigations, or manual processing due to user error or compliance/security flags.
13A. Offboarding; Withdrawals for Prohibited Persons
If GroveX determines or reasonably suspects you are a Prohibited Person or connected to a High-Risk Jurisdiction, GroveX may restrict trading and features, restrict deposits, and permit withdrawals only, subject to compliance and security checks. GroveX may refuse to process withdrawals where prohibited by law or where processing would create material legal, compliance, fraud, or security risk.
14. Prohibited Activities and Market Integrity
You must not engage in Prohibited Conduct and must not use the Platform for unlawful purposes. Without limitation, you must not:
- Engage in illegal activity, fraud, money laundering, terrorist financing, sanctions evasion, hacking, disruption, scraping, reverse engineering, impersonation, malware, phishing, or spam.
- Engage in Market Manipulation.
- Engage in Abusive Trading or exploit Platform Errors or abnormal conditions.
- Use multiple accounts or coordinate with others to circumvent controls.
- Attempt to bypass geofencing, sanctions controls, AML/CTF controls, or other security or compliance controls.
- Use automated systems in a way that violates Trading Rules or imposes unreasonable load or abusive outcomes.
15. Platform Errors, Error Trades, Corrections, Reversals, and Clawbacks
Where GroveX reasonably determines an Order, Trade, balance, fee, credit, or execution resulted from or was connected to a Platform Error, abnormal market conditions, Prohibited Conduct, or breach of these Terms, GroveX may, to the extent permitted by law:
- cancel, void, reverse, or unwind trades (in whole or in part);
- reprice trades to reflect a fair market rate;
- remove, withhold, reverse, or claw back profits, credits, or other gains;
- adjust balances and records; and
- restrict features pending investigation.
You are not entitled to gains resulting from Platform Errors or Prohibited Conduct.
16. Market Integrity Enforcement Actions; Refusal of Service
GroveX may take actions where it reasonably believes Prohibited Conduct, jurisdiction violations, or market integrity risks have occurred or may occur, including warnings, trading limits, disabling features, suspending trading, reversing/unwinding trades, clawbacks, freezes/withholding, account termination, and reporting/cooperation with authorities.
Refusal of service. GroveX may refuse onboarding, restrict, suspend, or terminate Services where reasonably necessary for compliance, risk management, or to protect the Platform and its Users. GroveX may do so without providing detailed reasons, except where required by law.
17. Account Freezes, Holds, and Withholding of Funds
To the extent permitted by law, GroveX may freeze, suspend, restrict, or terminate your Account and may hold, restrict access to, or withhold Digital Assets and/or Fiat where GroveX reasonably believes necessary for compliance, sanctions, security, fraud prevention, suspicious activity investigations, jurisdiction restrictions, High-Risk exposure, recovery of amounts owed, legal orders, or operational integrity.
18. Refunds, Compensation, and Remedy Limits
To the maximum extent permitted by law, deposits, trades, withdrawals, and conversions are generally final and non-refundable, except where GroveX determines a refund is appropriate or where required by law.
To the maximum extent permitted by law, the maximum total amount GroveX will pay you for any remedy arising out of or relating to your use of the Platform is limited to the Original Deposit Amount related to the relevant matter.
Nothing in these Terms excludes non-excludable rights under applicable law.
19. No Staking or Interest
GroveX does not offer staking or interest-bearing accounts unless expressly stated in separate product-specific terms.
20. Listings, Delistings, Forks, Airdrops, and Wallet Maintenance
Listing disclaimer (no endorsement). Listing of a Digital Asset does not constitute an endorsement, approval, recommendation, or sponsorship by GroveX. Networks and issuers are third parties and may fail or change.
GroveX may list, delist, suspend, or restrict any asset or market where reasonably necessary for compliance, security, liquidity, technical reasons, legal risk, operational integrity, issuer events, or network events.
Delisting wind-down. Where practicable, GroveX will provide notice and may restrict deposits or set markets to reduce-only/sell-only prior to delisting. A withdrawal window may be provided where practicable, subject to network, compliance, and legal constraints.
GroveX may suspend deposits/withdrawals due to maintenance, congestion, forks, third-party provider issues, security incidents, compliance reasons, or abnormal conditions.
GroveX may, but is not obligated to, support forks, airdrops, token migrations, or other events and may require verification to distribute assets where reasonably necessary.
21. Promotions
Promotions may be modified, suspended, or terminated at any time. If GroveX reasonably determines abuse or Prohibited Conduct, GroveX may withhold, reverse, or claw back Promotional Benefits.
22. Intellectual Property
The Platform, software, APIs, logos, and content are owned by GroveX or its licensors. You receive a limited, revocable, non-transferable licence to use the Platform in accordance with these Terms.
23. Third-Party Websites and Content
Third-party links or services may be provided for convenience. GroveX is not responsible for third-party content, policies, or practices. Use them at your own risk.
24. Service Availability, Maintenance, and Security Incidents
We do not guarantee uninterrupted access. We may modify, suspend, or discontinue Services where reasonably necessary for maintenance, risk control, compliance, security, incident response, or operational reasons.
During security incidents or abnormal conditions (including blockchain congestion or third-party wallet infrastructure issues), GroveX may pause, delay, or restrict trading, deposits, or withdrawals to protect Users and the Platform.
25. API and Automated Access (If Offered)
API/automated access is subject to rate limits, security controls, and additional rules published by GroveX. GroveX may suspend or revoke API access for abuse, excessive load, security risk, Prohibited Conduct, or suspected circumvention.
25A. Agentic Commerce, AI Agents, and Authorised Bots
If you authorise an Authorised Agent to access your Account or place Orders, you are responsible for its actions and for securing credentials (including API keys).
Unless GroveX expressly permits otherwise, Accounts may only be held by natural persons or legal entities capable of entering these Terms (no “AI-only” account holders).
GroveX may implement circuit breakers and controls (rate/velocity limits, withdrawal restrictions, anomaly detection, forced API resets, temporary pauses) and may disable an Authorised Agent’s access where reasonably necessary for compliance, security, or integrity.
You must promptly revoke access for any Authorised Agent you no longer trust or control.
26. Electronic Records and Consent
You agree electronic records, click-wrap acceptances, system logs, IP logs, device identifiers, and electronic communications may be used as evidence of your agreement and Platform activity, to the maximum extent permitted by law.
26A. Communications Consent for Security and Compliance
You consent to GroveX contacting you (email, SMS, in-app, or other reasonable methods) regarding security alerts, verification requests, compliance inquiries, and incident notices.
Failure to respond to time-sensitive verification or compliance requests may result in restrictions, including withdrawal-only status, until resolved.
27. Tax and Records Responsibility
You are responsible for determining and meeting tax obligations and for retaining your own records. GroveX may not be able to provide complete statements for all networks or third-party rails in all circumstances.
28. Dormant Accounts (If Applicable)
If your Account remains inactive for a continuous period determined by GroveX and permitted by law, GroveX may classify it as dormant and may impose reasonable administrative fees after providing notice where practicable.
Unclaimed funds may be handled in accordance with applicable unclaimed property or similar laws and regulatory requirements.
28A. Succession, Legacy Contact, and Digital Inheritance
GroveX may offer a “Legacy Contact” or similar nomination feature. Participation is optional and subject to any feature-specific rules.
Where GroveX receives notice that a User is deceased or legally incapacitated, GroveX may require verification and documentation (including proof of death/incapacity, identity verification, and legal authority such as probate/court orders).
During review, GroveX may restrict the Account (including withdrawal-only) to prevent fraud and protect the estate.
GroveX will process succession requests in good faith but does not guarantee timing or outcomes and will follow applicable law and valid legal orders. A Legacy Contact nomination does not override legal entitlements where law requires otherwise.
28B. Transparency and Proof of Reserves Program
GroveX may publish transparency reports describing custody practices, risk controls, and asset backing information.
Where GroveX offers Proof of Reserves (PoR), it may use cryptographic methods (e.g., Merkle proofs and/or other cryptographic techniques) and may engage independent parties to provide attestations. PoR reports will describe scope, methodology, assumptions, exclusions, and limitations.
PoR does not necessarily cover all liabilities or all forms of assets unless explicitly stated.
29. Termination and Survival
You may stop using the Platform at any time. GroveX may suspend or terminate accounts where reasonably necessary for compliance, security, Prohibited Conduct, investigation, jurisdiction restrictions, High-Risk exposure, or risk management. Where practicable, we may provide notice, but we may act without notice where necessary.
The following sections survive termination to the extent applicable: Definitions, Background and Scope, No Regulated Products; No Advice, AML/CTF and KYC, Platform Records and Determinations, Fees and Set-Off, Prohibited Conduct, Corrections and Clawbacks, Enforcement, Freezes and Withholding, Refund and Remedy Limits, Liability and Indemnity, Notices, Disputes, Governing Law, and Record Retention.
30. Limitation of Liability
To the maximum extent permitted by law, GroveX is not liable for indirect, incidental, special, consequential, or punitive losses arising from your use of the Platform, including losses from volatility, outages, hacks, delays, third-party providers, or blockchain events. This section is subject to any non-excludable rights under applicable law.
31. Indemnity
To the extent permitted by law, you agree to indemnify GroveX against claims and losses arising from your breach, unlawful conduct, or misuse of the Services.
32. Support, Complaints, Escalation, and Scam Prevention
Complaints should be emailed to AdminGroveX@GroveX.io.
We aim to acknowledge complaints within 5 business days and provide a substantive response within 15 business days, unless the matter involves compliance checks, investigations, third-party dependencies, or legal restrictions.
If unresolved, you may request escalation by emailing AdminGroveX@GroveX.io with “Escalation Request” in the subject.
GroveX staff will never ask you to share your password, 2FA codes, private keys, or seed phrase. You are responsible for verifying official GroveX channels.
33. Notices and Communications
Notices may be provided via the Platform, email to your registered email, or other reasonable methods. You are responsible for keeping your contact details current.
To the extent permitted by law, notices are deemed received when sent to your registered email address or when posted in-app or on the Platform, as applicable.
34. Dispute Resolution and Arbitration
Before arbitration, you agree to attempt informal resolution by contacting AdminGroveX@GroveX.io.
If not resolved within 30 days, the dispute will be handled under the dispute-resolution process applicable to GroveX and the User at the time the dispute arises, subject to any mandatory rights to bring a claim before a competent court or tribunal.
Either party may bring an eligible claim in a small claims tribunal or court where applicable instead of arbitration.
35. Entire Agreement
These Terms and incorporated policies constitute the entire agreement and supersede prior agreements relating to the Services.
36. Severability and No Waiver
If any provision is invalid, the remainder remains effective. Failure to enforce a right is not a waiver of that right.
37. Assignment
GroveX may assign these Terms. You may not assign your rights without GroveX’s prior written consent.
38. No Partnership
Nothing creates a partnership, joint venture, or agency relationship between you and GroveX.
39. Force Majeure
GroveX is not liable for delays or failures caused by events beyond reasonable control, including outages, cyberattacks, natural disasters, war, or government actions.
40. Governing Law
These Terms are governed by the laws applicable to GroveX's then-current licensing and operating framework, subject to any mandatory laws that apply to you.
41. Language and Priority of Documents
If these Terms are translated, the English version prevails to the extent of any inconsistency, except where prohibited by law.
To the extent permitted by law, if any Help Centre article, FAQ, marketing statement, or summary conflicts with these Terms, these Terms prevail.
42. Accessing and Correcting Personal Information and Record Retention
You may request access to or correction of personal information by contacting AdminGroveX@GroveX.io.
We may retain records for regulatory and legal purposes for required periods.
